Election question

With the DMS shelter in place order and DMS closure, how will it be possible to obtain a quorum of members to vote?

I have heard bylaws prevent pushing back an election, however, we are technically closed. If we are closed, members can’t properly campaign or vote.

So, what happens now?

Proxy voting:

Section 4.6.4 Quorum for Meetings

At any meeting of the members, a quorum shall consist of one-third of the voting members of the corporation represented in person or by proxy. Except as otherwise provided by provisions of law, no business shall be considered by the members at any meeting at which the required quorum is not present, and the only motion which the Chair shall entertain at such meeting is a motion to adjourn.

Emphasis mine. In short, submitting a proxy counts towards attendance for quorum.

Proxies may be electronic or mailed in. Voting in person or hand-carrying another member’s proxy looks like it won’t be an option this year.

Proxies will be directed and executed as such by the Secretary. A very small crew will be present onsite for the counting and we’ll see about filming/streaming the process in the interest of transparency.

Erik, with the recent membership drop, how has that impacted number of voting members and quorum threshold?

I ran the script late last week and found 290 voting members:

  • ⅓ Quorum (minimum to elect a new board) : 97 members (rounding up from ~96.7)
  • ⅔ Quorum (minimum to approve bylaws changes) : 193 members (rounding down from ~193.3)

I live in Coppell and worked the last election if volunteers are needed.
